Evernorth takes a page from Michael Saylor’s Bitcoin playbook with new $80 million XRP funding plan
Evernorth Holdings could raise approximately $80 million through a new equity financing agreement with Cantor Fitzgerald to expand its XRP treasury.
The Ripple-backed company entered into a stock purchase agreement with CF Principal Investments, a Cantor Fitzgerald affiliate, on Oct. 23, allowing it to sell up to 5.22 million newly issued Class A common shares over approximately 14 months.
An accompanying SEC prospectus estimates that the arrangement could generate $80.7 million in gross proceeds, or approximately $78.3 million after fees and expenses, based on Evernorth's Oct. 22 closing share price of $15.46.
Evernorth intends to allocate a substantial portion of the proceeds toward acquiring additional XRP, while using the remaining capital for working capital, corporate expenses, and activities within the XRP ecosystem.
Under the agreement, the Nasdaq-listed company can direct Cantor to purchase shares periodically at 97% of their volume-weighted average trading price. The arrangement lets Evernorth access capital in installments, with management deciding when to issue shares based on market conditions and financing needs.
However, the purchases are subject to restrictions, including a general limit of 20% of trading volume during the applicable purchase period and a 4.99% ownership threshold for Cantor. Evernorth must also pay an initial commitment fee of approximately $522,000, which could increase to $1 million under certain conditions.
The financing has not yet begun, as the company must first secure SEC effectiveness for its resale registration statement and meet other contractual requirements.
Consequently, the final amount raised will depend on Evernorth's share price, trading liquidity and the volume of equity it ultimately issues.
Evernorth's earlier filing opened another potential $132 million funding route
The latest agreement builds on another SEC filing in which Evernorth registered the potential issuance of nearly 11.5 million Class A shares by exercising outstanding public warrants.
Those warrants, issued by the special purpose acquisition company behind Evernorth's public listing, allow holders to buy shares at $11.50 each.
If exercised in full for cash, they could generate approximately $132.2 million for Evernorth, providing another potential source of capital beyond its agreement with Cantor Fitzgerald.
Unlike the latest share-sale arrangement, the warrant proceeds depend on investors voluntarily exercising their existing rights. Evernorth said it would use any money received for general corporate purposes, with management retaining discretion over its deployment.
The two filings illustrate the financing options Evernorth is developing following its October public-market debut. Both arrangements could expand its capital base, although issuing additional shares would also dilute existing shareholders' ownership.
Evernorth said it generally intends to raise additional capital when its stock trades at a premium to the net asset value of its XRP holdings, creating opportunities to acquire more tokens while seeking to increase the underlying asset value attributable to each share.
The approach follows a model pioneered by Michael Saylor's Strategy, which has repeatedly sold MSTR shares to investors and used the proceeds to expand its Bitcoin holdings.
The strategy has used equity offerings to turn investor demand for its shares into additional Bitcoin purchases, creating a financing model other digital asset treasury companies have tried to replicate.
Evernorth is pursuing a comparable strategy with XRP, using its public listing to create access to capital beyond its initial fundraising. Its pending Cantor facility and outstanding warrants could finance further purchases, with the scale of those acquisitions ultimately determined by how much equity capital it can secure.
